Terms of Service

These Terms govern your use of the Humlo iOS application and related services (the “Service”) operated by [LEGAL ENTITY NAME] (“Humlo”, “we”, “us”). By downloading, installing, or using Humlo, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating or using a Humlo profile you confirm that you have read, understood, and accepted these Terms and our Privacy Policy. If you are using the Service on behalf of another person or an organization, you represent that you have authority to bind them to these Terms.

These Terms form a binding agreement between you and Humlo. They are in addition to, and do not replace, Apple’s Licensed Application End User License Agreement (EULA), which also applies to your use of the app distributed through the App Store.

2. The Service

Humlo is an AI music studio for iPhone. The Service lets you:

Create a personal AI voice model from a short voice recording;
Generate AI music covers where any song is re-performed using your cloned voice;
Generate short AI videos in which a photo of yourself appears to sing the cover;
Save, play back, share, and download the media you create.

The Service combines our own software with third-party AI, media-processing, and distribution providers listed in Section 10. Features, quotas, and model behavior may change over time.

3. Eligibility

You must be at least 13 years old to use Humlo. If you are under the age of majority in your country, you may only use the Service with the involvement and consent of a parent or legal guardian. We may refuse or terminate Service to anyone for any lawful reason.

4. Your Account

Humlo uses a device-based account model: a unique, randomly generated identifier is associated with your device and stored securely on it. You are responsible for the security of the device you use with the Service. If you reinstall the app or switch devices, you may lose access to your library unless you have restored the identifier from your device’s backup. We may, in the future, introduce optional email-based accounts; when we do, the email terms will be added to these Terms.

5. Subscriptions & Billing

Humlo offers a free tier with limited usage and one or more paid subscription plans (“Humlo Pro”) that unlock additional generations, longer outputs, higher-quality models, and video features. Subscriptions are sold through the Apple App Store and are billed to your Apple ID.

Auto-renewal

All Humlo Pro subscriptions renew automatically at the end of each billing period (weekly, monthly, or annually, depending on the plan you select). Your Apple ID will be charged the then-current subscription price within 24 hours prior to the end of the current period. The renewal is at the same price and duration as the initial term, unless Apple or we notify you of a change.

Managing or cancelling your subscription

You can manage or cancel your subscription at any time from Settings → [your name] → Subscriptions on your iPhone, or via the App Store app. Cancellations take effect at the end of the current billing period; you will retain access to Pro features until then. Apple does not issue partial refunds for unused time on a cancelled subscription, except as required by applicable law.

Free trials

From time to time we may offer a free trial. Your subscription begins at the end of the trial unless you cancel at least 24 hours before the trial ends. Unused trial time is forfeited when a subscription is activated.

Price changes

We may adjust subscription prices. Existing subscribers will be notified in accordance with App Store rules and will have the opportunity to cancel before the new price applies.

Taxes

Prices may include or exclude applicable taxes depending on your region, as determined by Apple.

Refunds

All purchases are processed by Apple. Refund requests must be submitted through Apple at reportaproblem.apple.com. We cannot process refunds directly.

6. User Content

You may upload or record voice samples, photos, song files, and other material (“User Content”). You retain ownership of your User Content. By submitting it to the Service, you grant Humlo a limited, worldwide, royalty-free licence to host, process, transmit, transcode, analyse, and adapt your User Content solely for the purpose of providing and improving the Service to you.

You represent and warrant that:

You have all rights necessary to provide the User Content to us and to have us process it as contemplated by these Terms;
Any photo you upload for video generation is a photo of yourself, or a photo of a person who has explicitly authorised you to use their likeness in this way;
Your use of the Service does not infringe any third party’s rights, including intellectual-property, privacy, publicity, or contractual rights.

7. Generated Media

Audio covers and videos produced by the Service from your User Content are “Generated Media”. As between you and Humlo, you own the Generated Media you create, subject to the rights of third parties in the underlying source material (for example, the copyright holders of any original song you choose to cover).

You are solely responsible for clearing the rights to any third-party content you bring into the Service (including songs you upload or link to) and for the way you use the resulting Generated Media. Humlo does not grant you any rights in underlying songs, artists, or brands, and does not represent that a cover you create is cleared for commercial use, public distribution, or performance.

8. Prohibited Uses

You agree not to use the Service to:

Impersonate another person without their explicit consent, including creating voice or video of a real person without authorisation;
Create, upload, or distribute content that is defamatory, harassing, hateful, sexually explicit involving minors, or otherwise unlawful;
Use voice, likeness, or content of public figures, politicians, or celebrities in a manner that is misleading, deceptive, or intended to harm;
Generate material intended to deceive or defraud, including fake endorsements, political disinformation, or scam content;
Infringe any third party’s intellectual-property, publicity, or privacy rights;
Reverse-engineer, decompile, scrape, or attempt to extract model weights, training data, or source code from the Service;
Interfere with or attempt to disrupt the Service, including by sending automated requests, probing security mechanisms, or abusing rate limits;
Resell or sublicense access to the Service without our written consent.

We may remove Generated Media, suspend accounts, or refuse future Service at our discretion where we reasonably believe these Terms have been violated.

9. Intellectual Property

The Humlo name, logo, app, software, designs, and all related intellectual property are owned by Humlo and its licensors. Nothing in these Terms transfers those rights to you. You may not use our marks without prior written permission.

10. Third-Party Services

Humlo relies on third-party providers to power parts of the Service, including (without limitation): Apple (distribution, in-app purchases, push), voice-cloning and audio-processing providers, image-to-video animation providers, lip-sync providers, cloud storage and CDN providers, and analytics and attribution providers. A current list, with links to each provider’s own policies, is available in our Privacy Policy.

Your use of those providers is subject to their own terms. Humlo is not responsible for the availability, content, or practices of third-party services.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. AI-GENERATED OUTPUTS ARE PROBABILISTIC AND MAY CONTAIN ARTIFACTS, ERRORS, OR UNEXPECTED RESULTS; WE DO NOT GUARANTEE ANY PARTICULAR QUALITY, LIKENESS, OR SUITABILITY OF A GENERATED TRACK OR VIDEO.

WHERE APPLICABLE LAW DOES NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, THE EXCLUSIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUMLO AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.

13. Indemnification

You agree to defend, indemnify, and hold harmless Humlo and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your User Content, your use of the Service in violation of these Terms, or your violation of any third party’s rights.

14. Termination

You may stop using the Service at any time by deleting the app and cancelling any active subscription through your Apple ID. We may suspend or terminate your access at any time if we reasonably believe you have violated these Terms or applicable law, or to protect the safety or integrity of the Service. Sections intended by their nature to survive termination (including Sections 7, 9, 11, 12, 13, 16, and 17) will survive.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date above and, where required, by an in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

16. Governing Law & Disputes

These Terms are governed by the laws of [JURISDICTION], without regard to its conflict-of-laws rules. The exclusive venue for disputes arising from these Terms or the Service is the competent courts of [VENUE], except where mandatory consumer-protection laws require otherwise. Nothing in this Section affects rights you may have as a consumer under the laws of your country of residence.
